Welcome to Praan. These Terms of Use ("Terms") govern your access to and use of the Praan mobile application, website, and related services (collectively, the "Platform"), operated by Praan Co., Ltd. ("Praan", "we", "us", or "our"). By creating an account or using the Platform, you agree to be bound by these Terms.

1. Eligibility

1.1. The Platform is a business-to-business marketplace. You may only create an account if you represent a registered business in Thailand.

1.2. You must be at least 20 years old and have full legal capacity to enter into contracts.

1.3. We reserve the right to verify your identity and business registration before granting full access.

2. Account types

• Buyers — hospitality businesses seeking services from suppliers.
• Suppliers — registered Thai companies offering services to hospitality businesses.

Each account must be linked to a single legal entity.

3. Account creation and verification

3.1. You agree to provide accurate, complete and current information during registration.

3.2. We may approve, reject or suspend any account at our sole discretion. Pending accounts have read-only access.

3.3. You are solely responsible for maintaining the confidentiality of your credentials.

4. Use of the Platform

4.1. Buyers post service requests and Suppliers respond with quotes. Bookings are negotiated directly through the Platform.

4.2. You agree to use the Platform only for lawful business purposes.

4.3. You agree not to:

• post false, misleading, fraudulent or illegal content;
• impersonate another person or business;
• circumvent payment, escrow or commission mechanisms;
• attempt to gain unauthorised access to other accounts;
• harass, abuse or harm any other user;
• scrape or redistribute Platform content without permission;
• post content that infringes any third party's rights.

5. Bookings and escrow

5.1. When a Buyer accepts a quote, a binding booking is created. Praan acts solely as an intermediary.

5.2. Where escrow is enabled, payment is held until the Buyer confirms delivery, then released minus commission.

6. Commission and fees

Praan charges a commission on completed transactions. The rate is displayed on the Platform and may change with notice.

7. Disputes

7.1. Disputes should first be resolved directly between the parties.

7.2. Either party may submit a dispute to Praan for review. Our decision is final for escrowed funds.

8. Ratings and reviews

Reviews must be honest, accurate and based on first-hand experience. We may remove abusive or fraudulent reviews.

9. Content and intellectual property

9.1. You retain ownership of content you submit.

9.2. You grant Praan a licence to host, display and distribute that content for operating the Platform.

9.3. The Platform's design, software and logos are Praan's property.

10. Suspension and termination

10.1. You may close your account at any time from the app settings.

10.2. We may suspend or terminate your account if you violate these Terms.

11. Disclaimers

The Platform is provided "as is". We do not guarantee the quality or legality of services contracted through the Platform.

12. Limitation of liability

Our total liability shall not exceed commissions paid in the preceding 12 months, or 5,000 THB, whichever is greater.

13. Changes to these Terms

Material changes will be notified by email or in-app notification.

14. Governing law

These Terms are governed by the laws of the Kingdom of Thailand. Jurisdiction: courts of Surat Thani.
